1. Introduction

1.1 These Terms (“Terms”) govern your access to and use of our website at www.vault22.io (“Website”) and our mobile application (“Mobile Application”) (collectively, “Service Channels”). By accessing or using the Service Channels, you agree to comply with these Terms and our Privacy Policy. Please read them carefully, as they affect your legal rights and obligations. If you do not agree, you must immediately discontinue use.

1.2 Vault22 Financial Ltd, fully regulated by the Dubai Financial Services Authority (DFSA) in the Dubai International Financial Centre (DIFC) and as a Juristic Representative in South Africa, offers a financial data management platform and robo-advisory services for arranging investment deals and advising on financial products through Regulated Third-Party Providers.

2. Definitions

2.1 For the purposes of these Terms:

2.1.1  “Vault22,” “we,” “us,” “our”: Means 22seven (Pty) Ltd (Registration number 2023/181742/07), trading as Vault22, a subsidiary of Vault22 Solutions Holdings Ltd. (Registration number 8385), Vault22 Financial Ltd regulated by the DFSA (firm reference number F006841) in the DIFC and operating as a Juristic Representative of Chalford Capital (FSP No. 52925) in South Africa.

“Applicable Regulations”: Includes South Africa’s Financial Advisory and Intermediary Services Act (FAIS), DIFC Regulatory Law 2004, DFSA Rules, and other laws or regulations applicable to the Services.

2.1.1 “Content”: means any information, data, materials, or other content you provide through the Service Channels.

2.1. 2 “Financial Instrument”: Refers to securities, futures, swaps, forward rate agreements, and other derivative contracts relating to securities, currencies, interest rates, or financial measures.

2.1.3 “Instruction-Only Basis”: Means Vault22 transmits your instructions to buy/sell Financial Instruments without advising on their merits or suitability.

2.1.4 “Intellectual Property Rights” means: (a) any and all intellectual or industrial property rights existing under any Laws anywhere in the world, whether registered or unregistered, including patents, utility model rights, rights in layout-designs(topographies) of integrated circuits, rights in trade secrets, rights in confidential information and know-how, design rights, copyrights (including rights in software), neighbouring rights, database rights or other rights in compilations of data, and any and all rights of a similar nature; and (b) all applications and rights to apply for any of such aforementioned intellectual or industrial property rights, including registrations, renewals and extensions, anywhere in the world.

2.1.5 “Investment Account”: An account opened with Vault22 for arranging deals and advising on financial products via the Robo-Advisory Service, reflecting the status of your Regulated Third-Party Provider Account(s).

2.1.6 “Login Details”: means the email address, password, and any other security information you provide to access the Service Channels.

2.1.7 “Personal Information”: means information relating to an identifiable, living, natural person, and where it is applicable, an identifiable, existing juristic person, including, but not limited to

2.1.7.1. information relating to the race, gender, sex, pregnancy, marital status, national, ethnic or social origin, colour, sexual orientation, age, physical or mental health, well-being, disability, religion, conscience, belief, culture, language and birth of the person;
2.1.7.2. information relating to the education or the medical, financial, criminal or employment history of the person;
2.1.7.3. any identifying number, symbol, e-mail address, physical address, telephone number, location information, online identifier or other particular assignment to the person;
2.1.7.4. the biometric information of the person;
2.1.7.5. the personal opinions, views or preferences of the person;
2.1.7.6. correspondence sent by the person that is implicitly or explicitly of a private or confidential nature or further correspondence that would reveal the contents of the original correspondence;
2.1.7.7. the views or opinions of another individual about the person; and
2.1.7.8. the name of the person if it appears with other personal information relating to the person or if the disclosure of the name itself would reveal information about the person.

2.1.8 “Regulated Third Party Provider”: An entity that is licensed to hold funds and execute transactions arranged by Vault22 on an Instruction-Only Basis.

2.1.9 “Robo-Advisory Service”: Functionality within the Mobile Application for arranging investment deals and advising on Financial Instruments through Regulated Third-Party Providers on an Instruction-Only Basis.

2.1.10 “Subscription Fee”: means any fee that may be charged by Vault22 for using the Service, as applicable from time to time.
2.1.11 “Third Party Service Providers”: means our third-party providers whose services you access or use through our Service Channels.
2.1.12 “User,” “you,” “your”: means any person accessing or using the Service Channels.

3. Acceptance of Terms

By accessing or using the Service Channels, including the Robo-Advisory Service, you agree to these Terms, our Privacy Policy, and DFSA-compliant guidelines. Each use reaffirms your acceptance. If you disagree, discontinue use immediately.

4. Changes to the Terms

Vault22 may modify these Terms at its discretion, posting changes on the Service Channels with an updated “Last Updated” date. Continued use after changes implies acceptance. If you disagree, stop using the Service Channels. Changes comply with DFSA and FAIS requirements.

5. The Service Provided by Vault22

5.1 Nature of Services: Vault22 provides a financial data management platform to consolidate, visualize, and analyze financial information, offering advisory and intermediary services under the FAIS Act. The Robo-Advisory Service, regulated by the DFSA, enables arranging investment deals and advising on Financial Instruments through Regulated Third-Party Providers on an Instruction-Only Basis. Services include personalized product recommendations from vetted third-party providers.

5.2 Regulatory Status: Vault22 is: A Juristic Representative of Chalford Capital (FSP No. 52925) under the FAIS Act, authorized to provide financial advice and intermediary services in South Africa. Regulated by the DFSA (firm reference number F006841) in the DIFC for arranging deals in investments and advising on financial products, adhering to DFSA Rules.Vault22 does not act as a discretionary investment manager; trades are executed by Regulated Third Party Providers under their own regulatory obligations.  

5.3 Financial Advice and User Responsibility: Vault22 offers guidance and intermediary services, including DFSA-regulated robo-advisory advice. You are solely responsible for financial decisions and should seek independent advice. Vault22 does not provide tax or legal consultancy or guarantee suitability of products or transactions.

5.4 Limitation of Liability: Vault22, Chalford Capital, and Regulated Third Party Providers are not liable for losses from reliance on information or transactions, except where caused by Vault22’s negligence, wilful default, or fraud, as per DFSA and FAIS regulations. Markets, products, and prices may fluctuate, and Vault22 is not responsible for outcomes like slippage.

5.5 Robo-Advisory Service Specifics: Provides indicative quotes for Financial Instruments, which may differ from market prices. Quotes are not offers and may change. Orders are transmitted to Regulated Third Party Providers for execution, with no guarantee on execution prices due to volatility or slippage, per DFSA Rules. Orders outside market hours or during suspensions are executed when liquidity allows, without guaranteed price matching. Vault22 may decline or cancel orders for security risks, insufficient funds, or non-compliance with DFSA or FAIS regulations, notifying users via Service Channels unless legally restricted.

6. Your account

6.1 Registration Requirements

To access Services, you must provide accurate, current, and complete information (e.g., name, email, tax residency). Additional data is required for AML, sanctions, and fraud checks under DFSA and FAIS regulations. You are treated as a Retail Client under DFSA, receiving applicable protections.

6.2 Account Security

You must secure your Login Details and report unauthorized access immediately. Vault22 is not liable for losses from unauthorized use. Investment Accounts require a unique, strong password, and sharing security credentials is prohibited, per DFSA standards.

6.3 Investment Account

For Robo-Advisory Services, an omnibus account will be open under a Regulated Third-Party Provider Account for fund holding and trade execution, governed by their terms. Vault22 does not supervise or assume liability for their actions.

7. Fees Payment and Refunds

7.1 Fees

The Vault22 platform is free, but a Subscription Fee may be introduced with notice. The Robo-Advisory Service may require a subscription, auto-renewing at the prevailing rate, with 30 days’ notice of changes, compliant with DFSA disclosure rules. Third-party fees (e.g., withdrawal fee, bank transfer fees) may apply per Regulated Third-Party Provider terms.

7.2 Payment Methods

Fees or transactions can be paid via debit cards, credit cards, or other methods. Card processing fees may apply, with user consent required, as per DFSA regulations.

7.3 Third-Party Fees

Vault22 does not charge transfer or withdrawal fees, but third-party fees (e.g., broker bank withdrawal fee) may apply. Verify bank fees independently.

7.4 Tax and Payments

Payments exclude VAT or similar taxes, which you must cover. Vault22 may require additional payments for tax withholdings to ensure full receipt, per DFSA and FAIS requirements.

8. Privacy and Data Protection

8.1 Privacy Policy:Personal Information is processed per our Privacy Policy, compliant with POPIA and DIFC Data Protection Law No. 5 of 2020, as mandated by DFSA Rules. You consent to collection, use, and cross-border transfer for Service delivery.

8.2 User Responsibilities:Provide accurate, current information and update it promptly. You warrant authority to submit such data.

8.3 Data Sharing:Vault22 may share Personal Information with Third Party Service Providers and Regulated Third Party Providers for Services or compliance, ensuring DFSA-equivalent security standards. Vault22 is not liable for third-party breaches.

8.4 Data Retention:Personal Data is retained for six years post-termination or as required by DFSA and FAIS regulations. Hard copies may be scanned and stored indefinitely.

9. Thirty party service providers

9.1 Authorization:You authorize Vault22 and Regulated Third Party Providers to use security credentials (e.g., User IDs, passwords) to collect Account Information, per the Privacy Policy and DFSA Rules.

9.2 Third-Party Terms: Regulated Third Party Provider services (e.g., GTNA Asia Financial Services Pte Ltd) are subject to their terms, which you must accept. Vault22 is not liable for their actions or disputes, which you resolve directly.

9.3 Liability: Vault22 is not liable for third-party losses, except where caused by Vault22’s negligence, wilful default, or fraud, per DFSA regulations.

10. User Conduct and Obligations

10.1 Compliance:Use Service Channels responsibly, adhering to DFSA and FAIS regulations. Prohibited actions include: Using automated tools (e.g., bots) to access Service Channels. Transmitting malware or viruses. Attempting unauthorized access or reverse engineering. Posting unlawful or defamatory content.

10.2 Investment Obligations:You warrant: You are over 18 and authorized to enter these Terms. You have not been suspended from Vault22 or Regulated Third Party Provider services. You are the sole owner of funds and not a U.S. resident. You will provide accurate AML and tax information, per DFSA requirements.  Borrowing to fund investments is discouraged; you are liable for loan repayments.

11. Disclaimer

11.1 Service Channels are “as is” and “as available,” without warranties of accuracy or fitness, per DFSA and FAIS disclaimers. Vault22 disclaims liability for: Errors, interruptions, or inaccuracies. Losses from unauthorized access, volatility, or third-party actions. Failure to achieve investment goals.

11.2 Content (e.g., stock reports) is general information, not advice. Reliance is at your risk, per DFSA Rules.

12. Communications

Vault22 sends communications via email, SMS, or electronic means, in English, per DFSA requirements. You consent and can manage preferences through Service Channels.

13. Intellectual Property rights

13.1. Ownership

All Service Channel intellectual property is owned or licensed by Vault22. Unauthorized use is prohibited.

13.2. User Content

Submitting Content grants Vault22 a non-exclusive, royalty-free license for Service delivery. Content must not violate DFSA or FAIS regulations.

14. Limitation of Liability

14.1 Vault22 and affiliates are not liable for indirect, incidental, or consequential damages (e.g., lost profits), except as required by DFSA or FAIS regulations.

14.2 Vault22 is not liable for losses from: Your actions or omissions. Reliance on Services or information. Unauthorized access or errors. Market conditions or third-party actions.

14.3 Direct damage liability is capped at R5000.00 (or AED equivalent), per DFSA limits.

15. Indemnification

You indemnify Vault22 against claims, liabilities, or expenses from your Service Channel use, Terms breach, or DFSA/FAIS regulation violations.

16. Modification of Services for Legal Compliance

Vault22 may modify, suspend, or discontinue Services without notice to comply with DFSA or FAIS regulations or avoid intellectual property claims. Vault22 is not liable for losses.

17. Termination

17.1. By You

Terminate use via Service Channels, with 30 days’ notice for Investment Accounts. Fund redemption follows Regulated Third Party Provider terms, per DFSA Rules.

17.2. By Vault22

Vault22 may terminate access for Terms or DFSA/FAIS violations, with immediate effect for:
17.2.1 Non-payment or breach after notice.
17.2.2 Suspected fraud, security breaches, or financial crime.
17.2.3 AML or sanctions non-compliance.
Insolvency proceedings.

17.3. General

Accounts are closed upon termination, with data retained per DFSA and FAIS requirements.

18. Breach of Terms

Breaches unremedied within 14 days of notice allow termination or specific performance, per DFSA and FAIS regulations.

19. Governing Law and Dispute Resolution

South African law governs, with disputes resolved in South African courts, except for DFSA-regulated services, which are governed by DIFC law and subject to DIFC Courts (Small Claims Tribunal for disputes under AED 1,000,000).

20. Notices and Contact Information

20.1 Notices are sent to your registered email, per DFSA requirements.

21. Force Majeure

Vault22 is not liable for failures due to events beyond its control (e.g., acts of God), per DFSA and FAIS exemptions.

22. General Provisions

22.1 Entire Agreement: These Terms and Privacy Policy are the full agreement, compliant with DFSA and FAIS.

22.2 Severability: Invalid provisions do not affect others.

22.3 Assignment: Vault22 may assign rights with 30 days’ notice, per DFSA Rules.

22.4 Support: Email support@vault22.io (09:00–17:00 SAST, or UAE Monday–Friday, excluding holidays). Resolution is not guaranteed, per DFSA disclaimers.
